A (Pty) Ltd or Private Company is a legal establishment on its own and has to be registered as a tax payer in its own right. There is no restriction on the amount of shareholders it can have, but is restricted from offering its shares to the general public.
“(Pty) Ltd” stands for “Propriety Limited”
• A (Pty) Ltd can be started by 1 Director/Incorporator and can have as many directors as needed.
• There is a limited liability on Share Holders and Directors in regards to company’s debts.
• The name must end with “(Pty) Ltd”.
• Transfers of shares are restricted.
• Directors can be changed if needed by the company.

To register a company, the following documents and information is required:

• Four proposed names in order of preference.

Company Annual Returns

Annual Return is a short description of the most relevant information of a company, also known as Annual Company Renewal. The purpose of an Annual Return is to confirm that the company is trading or will be trading in the future. All companies and close corporations are required by law to file and pay their annual returns with CIPC every year on the anniversary of the company or close corporation registration date. If these returns are not filed and paid on time, it will incur penalties and can even lead to de-registration of the company followed by the freezing of the company’s bank account as well.
There is, however, a difference between Annual Returns and SARS Tax Returns. An Annual Return is like a ‘revival’ for the company and confirms whether CIPC has the most recent information of the company and that the company is still in business. A Tax Return is filed with SARS and focuses on the taxable earnings of a company in order to determine the tax accountability of the company to the State.
Who must submit the Company Annual Return?
All close corporations and companies must submit annual returns to avoid penalties charged and the possibility of being de-registered.
If a cc or company is dormant and you do not want this to be de-registered annual returns MUST also be submitted.
When must the Company Annual Return be submitted?
The annual return must be submitted during the month following the anniversary (incorporation) month.
Why must the Company Annual Return be submitted?
To update the latest information and for the companies and intellectual properties commission and for them to determine whether a company is still in business.
What happens if the Company Annual Return is not submitted on time?
If a company fails to lodge its annual return within the prescribed period, the company will eventually be final de registered, meaning that it will no longer exists.
In order for us to lodge an Annual Return for a company, the following information is required:
• Name of the company
• Registration number of the company
• The annual turnover of the company
Once we receive the above mentioned information, we will calculate the annual return fee and send you a notification about the amount that needs to be paid to CIPC.

Director changes are changes whereby directors are added to or removed from a company.
Company /CC amendment is the changing of a company’s particulars, such as the Business address, Telephone numbers, Company Name.

On a company update you may request to change your Company Name, Add or Remove a Member from your company, change address, contact details, email address and mission statement.

Company Restoration

CC / Company Restoration
CC/Company Restoration is a process by which a CC/Company gets re-registered after being de-registered. The main cause of de-registration of a CC/Company is failure to submit annual returns.
Requirements:
In order for a CC/Company to be restored, the following documents and information is required:
• Certified ID Copy of Member/Director
• Name of CC/Company
• CC/ Company Documents.
• Income Tax No. ( If applicable )
• If CC/Company owns immovable property, full property description & Deeds office where property was registered and Title Deed. ( If applicable )
• If CC/Company owns immovable property, a Municipal Account in the name of the CC/Company is required ( If applicable )
• Power of attorney which gives us authority to restore the CC/Company (which will be sent to you via email once the order is placed).
• Bank Statements showing activity during de-registration period.
• A signed rental agreement that existed during the period of de-registration.
Process:
Note that the price includes drafting of the affidavit, obtaining letters from Department of National Treasury and Department of Public Works, drafting of advertisement and placing it in the local newspaper and Deed Office Search (Windeed)
The advertising process takes 21 business days. Only after those 21 business days have lapsed can we then proceed further with the application.
This CC/Company Restoration process takes 15-30 business days after the advertisement process. However, if there is a delay from CIPC due to system errors or work load, the process could take longer.
If a CC/Company had immovable property, obtaining the Letters from Department of National Treasury and Department of Public Works could take 2-4 months, along with the normal waiting period.
Once the CC/Company has been restored, you will receive documents which inform you that the status of your CC/Company is undergoing a ‘Re-Instatement Process’. Once you submit annual returns within 30 days upon receipt of these documents, your CC/Company will automatically change its status to ‘In Business’
The above price includes submitting annual returns once the status of the CC/Company changes to ‘Re-Instatement Process’, but does not include the CIPC fees for annual returns.

A Personal Liability Company also known as a ”INC” is another type of company that does not differ much from a (Pty) Ltd. Trademark Registration

What is a trademark
A Trademark is how a business promotes itself visible in the marketplace and can be a name, slogan or logo or a combination of these. The best trademarks are instantly recognizable e.g. Coca Cola, Apple, Microsoft, Nike, etc. The terms “trademark” and “mark” are commonly used to refer to both trademarks and service marks. A registered trade mark is legally enforceable and it give you exclusive rights to use, sell and licence that mark for which it is registered.
The Trademark of a Logo and The Trademark of the Name is 2 seperate Trademark Registrations.
Each Trademark Registration is registered to a category, the charge is per category.
eg: ‘eBucket’ The Name is Trademarked under the Categories of Internet Web Technologies and Print Media Advertising, that is 2 Categories, the Logo is also Trademarked under these 2 categories. This will equate to 4 Trademark registrations.

Process:
Upon receipt of documents of the Trademark Registration, a Trademark search will be done, the search fee included in the trademark fee is non refundable. Search’s are used to check the availability of the trademark. Should the trademark have a conflict, the search will result negative and the trademark process will need to re-start with a new name. The new search process will cost an additional R999 over and above the Trademark fee per class.
The Trademark search process takes 4-6 weeks. Once the search is verified the trademark application is submitted for approval where it will take 3-4 weeks. Confirmation of the trademark registration will be delivered to the registered postal address submitted with the application that will contain the Trademark Registration Number.
Dept of Labour Services
Letter of Good Standing
Price: R799
A Letter of Good Standing is a certificate issued by the Department of Labour-Compensation Fund that verifies that a registered entity has submitted all its Returns of Earnings (ROE) and paid the due assessment/invoice.
Requirements:
In order to apply for a Letter of Good Standing (LOGS), the following documents and information is required:
• CC/Company documents
• Certified ID copies of members/directors
• Employer Reference Number/Notice of Assessment (issued by the Depart of • • • Labour-Compensation Fund)
• Total number of employees
• Total earnings of employee/s
Process:
This Letter of Good Standing certification takes 10-15 business days. The process could take longer if there are any delays due to system errors or workload with the Department of Labour
Once the Letter of Good Standing certification is done, you will receive the following:
• Letter of Good Standing (LOGS)
Please note that a business must be registered with the compensation fund before a letter of good standing can be obtained.
As soon as we have received the application for a letter of good standing, we will request it from the Compensation Fund. If there are no outstanding returns/monies on the registration number, the letter of good standing will be e-mailed to you directly.

UIF Registration

Unemployment Insurance Fund (UIF) is insurance for the employees in the case of unemployment, maternity, adoption or illness leave. The company must be registered for UIF with the Department of Labour.
Uif Registration is required for all businesses that have staff memebers employed to the company.
It is compusolry for all businesses to register for UIF once the first employee starts their Job and received their employment contract.

In order to register for UIF, the following documents and information is required:

The function of Compensation for Occupational Injuries and Diseases (COID) is to compensate an employee in the case of injury or disease. The company must be registered for COID with the Department of Labour.

A separate registration is necessary for each separate branch of a business, unless an arrangement for combined registration has been made.

VAT Registration

VAT is levied at the standard rate of 14% on the supply of goods and services by registered vendors a vendor making taxable supplies of more than R1 million per annum must register for VAT.
A vendor making taxable supplies of more than R50 000 but not more than R1 million per annum may apply for voluntary VAT registration.
Certain supplies are subject to zero rates or exempt from VAT.
Requirements:
In order to apply for VAT, the following documents and information is required:
• CC/Company registration documents.
• Company and member/director contact details
• Business description/activity
• CC/Company needs to be registered for income tax.
• SARS power of attorney which gives us the authority to apply for VAT on your behalf (which will be sent to you via email once the order is placed).
• Certified Clear ID copies of Member/Directors.
• An Original letter from the bank confirming the business bank account (must state when the account was opened, with a bank stamp not older than 1 month).
• Recent three months bank statements, with a bank stamp (minimum transaction required R 50,000.00 sales).

If you earn a more than a specific amount which is determined every year by Parliament, you are liable to register for Personal Income Tax.
Company Income Tax Registration
Once a CC/Company is registered, it is liable to be registered for Income Tax within 60 days of CC/Company registration.

Import and Export Licence / Code
If a business intends to bring goods into and/or send goods out of the country, it needs to register as an importer and/or exporter with SARS
Importers License
If you are planning to bring controlled goods, used goods, second-hand goods, waste or scrap into the country, you first need to register as an importer with the South African Revenue Service (Sars) and then apply to the International Trade Administration Commission (Itac) for an import permit.
Exporters License
To export certain goods out of South Africa, you must have a permit ensuring that you comply with applicable export control measures.
The export of some goods may be restricted to support strategies of beneficiation or to assist local manufacturers to obtain raw materials before they are exported.
Requirements:
To register for Import/Export license, the following documents and information in its original form are required:
• Certified CC/Company Documents

• The Original Bank letter confirming your company banking details, with stamp, and date of account opening

Importers License
An import permit ensures that the goods you intend importing, conform to the safety, quality, environmental and health requirements of the country. They must also comply with the provisions of international agreements.
Import permits also help to control the inflow of goods of a strategic nature or smuggled goods. The policy that applies to the importation of goods differs from one sector to another. Most new goods are exempt from import control measures.
Not all goods are subject to import control. However, all used goods, second-hand goods, waste and scrap are subject to import control measures.

Exporters Licence
An export permit is required to ensure that goods exported by an individual or organisation comply with the provisions of international agreements. Export permits also help to control the outflow of goods of a strategic nature or smuggled and stolen goods.
The policy that applies to the export of goods differs from sector to sector. If you require policy information regarding the export of specific goods, you should provide the Import and Export Control office at the International Trade Administration Commission (Itac) with details of the particular goods you want to export.
Not all goods or products are subject to export control measures. A list of goods that are subject to export control measures is available from Itac and can be mailed, faxed or emailed to you on request.

Pay-as-you-earn (PAYE) or Employees’ Tax is a tax that is deducted from an employees’ income and paid to SARS on a monthly basis. Once a company has employees, it is obliged to register for PAYE.
SKILL DEVELOPMENT LEVY (SDL)
SDL is payable by employers at a rate of 1% of the remuneration (salary) paid to employees. Employers paying annual remuneration for less than R500 000 in a year are exempt from paying SDL.
UIF (SARS)
UIF is payable monthly by employers on the basis of a contribution of 1% by employers and 1% by employees, based on employees’ remuneration (salary) below a certain amount.
Employers not registered for PAYE or SDL purposes must pay the contribution directly to the Unemployment Insurance Commissioner. However, if the employers are registered for PAYE with SARS, they are required to register with the Department of Labour for UIF for declaration.
Requirements:
In order to apply for PAYE and/or SDL, the following documents and information are required:
• CC/Company Documents
• Members/Directors certified ID copies along with proof of address of one of the members/directors
• Business description/activity
• Date on which the first contributor (employee) was employed
• Estimated payroll for the following 12 months and number of employees on which payroll is based
• Original letter from bank confirming banking details of the CC/Company stamped by the bank
• Proof of Address of the CC/Company. It can even be same as the residential address of one of the members/directors, if you don’t have a separate business premises for now or if you trade from home.
• Power of Attorney which gives us the authority to apply for Income Tax on your behalf (which will be sent to you via email once the order is placed).
Process:
This PAYE Registration process takes 2-5 business days. However if there are delays with SARS due to system errors and workload, the process could take longer.
Once the PAYE Registration is complete, you will receive proof of PAYE registration.
Tax Clearance Certificate
Price: R899
A Tax Clearance Certificate (TCC) proves that a taxpayer’s tax affairs are up to date and are in order. This means that the taxpayer does not have any outstanding returns or tax debts.
Note: You will need an income tax registration number to apply for tax clearance, if you do not have one you can apply for one here
Requirements:
In order to apply for a Tax Clearance Certificate, the following documents and information are required:
• CC/Company documents (if applicable)
• Certified ID copies of sole propriety and/or member/director
• Income Tax Reference Number
• Contact details of tax payer
Process:
In order to apply for a Tax Clearance Certificate, the following requirements have to be met:
• The tax payer must be registered and have a tax reference number (e.g. Income Tax Reference Number)
• The tax payer must have no outstanding debt for all taxes
• All returns must be up to date
• No duplicate TCCs will exist, except where a current TCC will expire within 2 months
Tax Clearance Certificates (TCC) is valid for 12 months.
Once your TCC application has been approved, you will receive Tax Clearance Certificates via email and/or post.
